TERMS OF SERVICE

1. Agreement to These Terms
These Terms of Service (“Terms”) govern access to and use of e-Vents OS, including its websites, event-management tools, ticketing services, customer accounts, organizer workspaces and related services (“e-Vents OS,” the “Platform,” or the “Services”).
e-Vents OS is currently owned and operated by Michael Elcock trading as Mobile Ace Technologies, Trinidad and Tobago (“e-Vents OS,” “we,” “us,” or “our”).
By creating an account, accessing or using the Platform, creating or managing an event, purchasing or obtaining a ticket, or otherwise using the Services, you agree to these Terms and any policies incorporated into them.
Where required, you will be asked to expressly accept applicable terms before completing a transaction.
If you do not agree, you must not use the relevant Services.
2. Electronic Transactions
You agree that transactions, agreements, notices, disclosures, acknowledgements and records may be created, provided and retained electronically to the extent permitted by applicable law.
Before completing an electronic purchase, customers will be provided with applicable transaction information, including pricing and relevant event, payment, cancellation and refund information.
Users should retain copies of transaction confirmations and applicable contractual terms for their records.
3. The e-Vents OS Platform
e-Vents OS provides technology that may enable organizers to:
- create and manage events;
- create ticket types and inventory;
- distribute digital tickets;
- record online and offline/manual ticket sales;
- manage staff and permissions;
- manage guest lists;
- conduct ticket check-in;
- manage event partners;
- record partner payments;
- manage expenses and financial information;
- manage promotions and marketing activities; and
- access operational and analytical tools.
Customers may use the Platform to discover events, obtain or purchase tickets, maintain tickets and interact with participating organizers.
Features may change as the Platform develops.
4. Relationship Between e-Vents OS and Event Organizers
Unless expressly identified otherwise, e-Vents OS is the technology platform and ticketing service provider, not the organizer, promoter, venue, performer or producer of an event listed on the Platform.
Event organizers are independently responsible for their events, including:
- event production;
- venue arrangements;
- licences and permits;
- safety and security;
- performers and suppliers;
- event descriptions;
- ticket pricing;
- admission requirements;
- event-specific policies;
- cancellations and postponements; and
- lawful operation of their events.
Use of e-Vents OS does not create a partnership, joint venture, employment relationship or agency relationship between e-Vents OS and an organizer except where expressly agreed in writing.
5. Accounts
Certain Services require an account.
You must provide accurate information and keep your account information reasonably current.
You are responsible for safeguarding your credentials and activities performed through your account.
You must promptly notify e-Vents OS if you reasonably believe your account has been compromised.
We may require email verification or other reasonable account-verification measures.
6. Eligibility
You must have the legal capacity required to enter into the applicable transaction.
Organizers must have authority to create and manage events and to enter into agreements associated with those events.
Age restrictions applicable to individual events remain the responsibility of the organizer and may differ from general Platform account requirements.
7. Organizer Responsibilities
Organizers must provide information that is accurate and not materially misleading.
An organizer must not use e-Vents OS to promote or conduct unlawful activity.
Organizers are responsible for complying with laws and requirements applicable to their events and business activities.
An organizer must clearly communicate material event conditions and must not knowingly misrepresent ticket availability, event status, refund status or other material information.
8. Event Listings
e-Vents OS may display information supplied by organizers.
Although we may provide moderation, administrative or verification tools, we do not guarantee that every organizer-supplied statement is accurate.
We may remove, restrict or suspend listings that reasonably appear fraudulent, unlawful, misleading, unsafe or contrary to these Terms.
9. Ticket Purchases
Before completing a ticket transaction, customers should review:
- event identity;
- date and time;
- venue;
- ticket type;
- price;
- applicable fees;
- organizer information;
- refund/cancellation policy;
- admission conditions; and
- other material transaction information presented during checkout.
A transaction is not complete merely because a checkout process has been started.
Where payment processing is required, completion may depend on successful payment confirmation.
10. Prices and Currency
Prices will be displayed in the currency identified during the transaction.
Where prices are displayed in Trinidad and Tobago dollars, they may be identified as TTD, TT$ or an equivalent designation.
Customers are responsible for reviewing the amount presented before confirming a transaction.
Additional charges imposed independently by a customer's financial institution are outside e-Vents OS's control.
11. Digital Tickets
Tickets may contain unique QR codes, barcodes or other identifiers.
Customers must protect their tickets from unauthorized copying or distribution.
A ticket that has already been validly used, cancelled, refunded or otherwise invalidated may be rejected at admission.
Possession of an image or copy of a ticket does not necessarily establish entitlement to admission.
12. Complimentary and Manually Issued Tickets
Organizers may use e-Vents OS to issue complimentary tickets, guest-list admissions or tickets associated with offline/manual sales.
A digital ticket generated through e-Vents OS does not by itself establish that e-Vents OS received payment for that ticket.
13. Event Admission
Admission remains subject to lawful event-specific conditions.
An organizer may establish reasonable conditions concerning age, identification, entry times, dress, prohibited items, conduct, capacity and other event requirements.
Such conditions should be disclosed where material to the customer's decision.
e-Vents OS does not independently guarantee admission merely because a valid ticket exists where lawful event-entry requirements have not been satisfied.
14. Refunds, Cancellations and Rescheduling
Refunds, cancellations, postponements and rescheduling are governed by the e-Vents OS Refund and Cancellation Policy, applicable event-specific policies and applicable law.
Event organizers generally determine event-specific refund policies unless otherwise required by law or expressly undertaken by e-Vents OS.
15. Offline/Manual Transactions
Organizers may record transactions occurring outside e-Vents OS's online payment infrastructure.
For such transactions, e-Vents OS may maintain ticket, inventory and financial records but does not thereby represent that it received or holds the underlying funds.
16. Event Partners
The Platform may allow organizers to maintain partner/vendor obligations and record payments that have occurred.
A Record Payment function is an accounting/operational record unless expressly stated otherwise.
Recording a partner payment does not mean e-Vents OS transmitted money.
Automated partner payouts are unavailable unless e-Vents OS expressly introduces and identifies such a service.
17. Organizer Settlements and Future Payment Services
Additional terms may apply if e-Vents OS later introduces organizer settlement, marketplace payment, automated payout, escrow or similar financial functionality.
No present Platform feature should be interpreted as creating such a service unless expressly identified.
18. Fees
e-Vents OS may charge organizers or customers fees for specified Services.
Applicable fees should be disclosed before the relevant transaction where required.
Fees may vary according to the service, event or commercial arrangement.
19. Prohibited Conduct
Users must not:
- engage in fraud;
- create fraudulent events or tickets;
- circumvent access controls;
- interfere with Platform operation;
- introduce malicious code;
- scrape or harvest information unlawfully;
- impersonate another person;
- misuse personal information;
- manipulate ticket or payment records;
- attempt unauthorized access;
- abuse refund or chargeback systems; or
- use the Platform in violation of applicable law.
20. Intellectual Property
e-Vents OS software, branding, interfaces, designs and Platform-created materials are protected by applicable intellectual-property laws.
Organizers retain rights they lawfully hold in content they upload.
By uploading content necessary to operate or promote an event through e-Vents OS, the organizer grants e-Vents OS a non-exclusive licence to host, reproduce, display and technically process that content as reasonably necessary to provide and promote the Services.
Organizers represent that they have the necessary rights to content they submit.
21. Privacy
Personal information is handled in accordance with the e-Vents OS Privacy Policy and applicable law.
22. Security
We use reasonable administrative and technical measures appropriate to the nature of the Platform and information processed.
No internet-based service can guarantee absolute security.
Users are responsible for taking reasonable steps to secure their own accounts and devices.
23. Suspension and Termination
We may restrict, suspend or terminate access where reasonably necessary because of:
- violation of these Terms;
- fraud or suspected fraud;
- security threats;
- unlawful activity;
- misuse of the Platform;
- material risk to customers or organizers; or
- legal or regulatory requirements.
Where appropriate and practicable, we may provide notice or an opportunity to address the issue.
24. Platform Availability
We aim to maintain reliable Services but do not guarantee uninterrupted availability.
Maintenance, infrastructure failures, security incidents, third-party outages or circumstances outside reasonable control may affect availability.
25. Third-Party Services
e-Vents OS may rely upon third-party providers for services such as hosting, communications and payment processing.
Those services may be governed by additional third-party terms.
26. Disclaimers
To the extent permitted by law, e-Vents OS does not guarantee the quality, safety, legality or successful performance of independently organized events.
Nothing in these Terms excludes any warranty, obligation, right or remedy that cannot lawfully be excluded.
27. Limitation of Liability
To the maximum extent permitted by applicable law, e-Vents OS will not be liable for indirect, incidental, special or consequential loss arising solely from matters outside its reasonable control.
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot legally be excluded or limited.
28. Indemnity by Organizers
To the extent permitted by law, organizers agree to indemnify e-Vents OS against third-party claims, losses or reasonable expenses arising from the organizer's unlawful conduct, material breach of these Terms, infringement of third-party rights, or failure to satisfy obligations relating to an independently operated event.
29. Records and Audit Evidence
e-Vents OS may maintain electronic records relating to transactions, policy acceptance, tickets, check-ins, refunds, administrative actions and other Platform activity for legitimate operational, security, dispute-resolution, financial and legal purposes.
30. Changes to These Terms
We may update these Terms as the Platform or applicable requirements evolve.
Material changes may require renewed acceptance where appropriate.
The applicable version and effective date will be made available electronically.
31. Governing Law
These Terms are governed by the laws of the Republic of Trinidad and Tobago.
Subject to any mandatory rights or procedures provided by law, disputes concerning these Terms are subject to the jurisdiction of the competent courts of Trinidad and Tobago.
32. Severability
If a provision is held invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.
